By accessing or using SyncParadise ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. SyncParadise is operated by SyncParadise ("we", "our", or "us").

2. Description of Service

SyncParadise provides data synchronization services between e-commerce platforms, invoicing systems, and email services. The Service enables automated data flows between systems such as Shopify, Billingo, and email platforms based on custom configurations.

3. User Accounts and Registration

3.1 Account Creation

To use the Service, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.2 Account Security

You must immediately notify us of any unauthorized use of your account or any other security breach. We are not liable for any loss or damage arising from your failure to protect your account credentials.

4. Use of the Service

4.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable laws or regulations
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers
  • Use the Service to transmit malicious code or harmful data
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service to compete with or replicate our business

4.2 Third-Party Integrations

The Service integrates with third-party platforms. You are responsible for complying with the terms of service of those platforms. You must have appropriate authorization to connect your accounts and synchronize data.

5. Data and Privacy

Your use of the Service is subject to our Privacy Policy. You retain all rights to your data. By using the Service, you grant us permission to access, process, and transmit your data as necessary to provide the synchronization services.

6. Fees and Payment

6.1 Pricing

Pricing for the Service is determined on a per-project basis. We will provide you with pricing information before you commit to using the Service. All fees are non-refundable unless otherwise stated.

6.2 Payment Terms

Payment terms will be specified in your service agreement. Failure to pay on time may result in suspension or termination of your access to the Service.

7. Service Level and Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may perform maintenance, updates, or modifications that temporarily affect Service availability. We are not liable for any downtime or service interruptions.

8. Intellectual Property

The Service, including all software, content, trademarks, and other materials, is owned by SyncParadise and is protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

9. Limitation of Liability

To the maximum extent permitted by law:

  • We provide the Service "as is" without warranties of any kind
  • We are not liable for any indirect, incidental, special, or consequential damages
  • Our total liability shall not exceed the amount paid by you for the Service in the 12 months preceding the claim
  • We are not responsible for data loss or corruption resulting from third-party platform issues

10. Indemnification

You agree to indemnify and hold harmless SyncParadise from any claims, damages, liabilities, and expenses arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Termination

We may suspend or terminate your access to the Service at any time for any reason, including violation of these Terms. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of Hungary, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Hungary.
