1. Introduction

1.1 The Provider

These Terms of Service (the "Terms") govern the use of the SyncParadise – Hungarian Invoicing Shopify application (the "App" or "SyncParadise"). The App is provided by:

SyncParadise is a Shopify app that automatically synchronizes orders from Shopify stores into the Hungarian invoicing system(s) selected by the Merchant. The App currently integrates with (together, the "Invoicing Providers"):

  • Billingo (operated by Billingo Technologies Zrt.)
  • Számlázz.hu (operated by KBOSS.hu Kft.)

The Provider reserves the right to add further invoicing system integrations in the future ("Future Integrations"). Merchants with an active subscription may use Future Integrations at no additional charge, unless expressly stated otherwise in an amendment to these Terms.

1.3 Scope

These Terms apply to every natural person, legal entity, and other organization (the "Merchant" or "User") who installs, registers for, or uses the App. By installing or using the App, you confirm that you have read and accepted these Terms and the Privacy Policy.

2. Definitions

  • App / SyncParadise: the Shopify app titled "SyncParadise – Hungarian Invoicing".
  • Merchant: the operator of a Shopify store who installs and uses the App.
  • Customer: the end-user (a third party) who places an order in the Merchant's Shopify store.
  • Shopify: the e-commerce platform operated by Shopify Inc. (151 O'Connor Street, Ground Floor, Ottawa, Ontario, K2P 2L8, Canada).
  • Billingo: the online invoicing system operated by Billingo Technologies Zrt. (API v3).
  • Számlázz.hu: the online invoicing system operated by KBOSS.hu Kft. (Agent API).
  • Invoicing Provider: Billingo, Számlázz.hu, or any future integrated invoicing system.
  • API Key: the unique authentication key the Merchant supplies to connect the App to an Invoicing Provider (Billingo API V3 key; Számlázz.hu Agent key).
  • Workspace: the Merchant's configuration environment inside the App.
  • Webhook: Shopify's automatic HTTP notification (e.g. orders/create, orders/updated) emitted when an order is created or updated.
  • Synchronization: the automatic transfer of Shopify order data into the selected Invoicing Provider system.
  • Draft invoice: in Billingo a document with "draft" status; in Számlázz.hu an unfinalized invoice (where supported) or, depending on the Merchant's configuration, a finalized invoice.

3. Description of the Service

3.1 Core Features

  • Order synchronization: Shopify orders that are created or updated are automatically forwarded to the Invoicing Providers selected by the Merchant, based on the orders/create and orders/updated webhooks.
  • Partner management: Customer data (name, address, email, tax number, company registration number) is automatically synchronized to the Invoicing Provider's partner registry; existing partners are matched by email and new ones are created automatically.
  • Invoice preparation / creation: For Billingo, a draft invoice is automatically created and updated; finalization is the Merchant's responsibility in the Billingo interface. For Számlázz.hu, an invoice is created via the Agent API in draft or finalized form depending on the Merchant's configuration.
  • Multi-provider support: A Merchant can use several Invoicing Providers simultaneously, each configured independently.
  • Line items, totals and payment methods: Shopify line items (product name, quantity, unit price, VAT rate), totals and payment method are mapped and passed to the Invoicing Provider.
  • Synchronization log: every sync event is logged (success, failure, manual-review-needed).
  • Future Integrations: the Provider expands the list of supported Invoicing Providers over time; active subscribers receive access at no additional charge unless otherwise stated.

3.2 What the App Does NOT Provide

  • The App is not an invoicing program and does not replace the Invoicing Providers' systems.
  • The App does not provide tax, accounting or legal advice.
  • The App is not responsible for the consequences of manual operations (finalization, deletion, cancellation) carried out in the Invoicing Providers' systems.
  • The App does not store detailed order data in its own backend; it only stores Invoicing Provider partner identifiers, document identifiers and synchronization status data.

4. Formation and Term of the Agreement

4.1 Formation

The agreement between the Merchant and the Provider is formed when the Merchant installs the App from the Shopify App Store and accepts these Terms.

4.2 Term

The agreement is concluded for an indefinite term.

4.3 Termination

(a) The Merchant may terminate the agreement at any time, without giving reasons, by uninstalling the App from the Shopify admin interface.

(b) The Provider may terminate the agreement with immediate effect if the Merchant:

  • materially breaches these Terms;
  • uses the App for an unlawful purpose;
  • breaches the terms of use of any Invoicing Provider.

(c) Within 30 (thirty) calendar days after uninstallation, the Provider permanently deletes the data associated with the Merchant's Workspace, except where a legal obligation requires longer retention.

4.4 Free Trial

The App includes a 7 (seven) day free trial starting on the day of installation. During the trial, all features are available without limitation. After the trial expires, continued use of the App requires an active subscription.

5. Fees and Payment

5.2 Fee Changes

The Provider reserves the right to modify subscription fees. The Merchant will be notified at least 30 (thirty) calendar days before the new fees take effect. Fee changes do not apply to an already started billing cycle.

5.3 Billing and Payment

Subscription fees are charged and collected through Shopify's own billing system, according to the payment terms of Shopify in force at the time.

5.4 Refunds

Refunds are handled in accordance with Shopify's refund policy. No fees are charged for cancellations made during the free trial.

5.5 Future Integrations and Fees

Merchants with an active subscription may use Future Integrations within their current subscription fee, at no additional charge, unless an amendment to these Terms expressly provides otherwise.

6. Merchant's Rights and Obligations

6.1 Rights

  • Full use of the App during the subscription term.
  • Configuring and using one or more Invoicing Providers in parallel.
  • Viewing synchronization logs in the App admin interface.
  • Uninstalling the App and cancelling the subscription at any time.
  • Using Future Integrations under an active subscription.

6.2 Obligations

  • Keeping valid Invoicing Provider API keys (Billingo API V3 key, Számlázz.hu Agent key) confidential. The Provider disclaims liability for damage caused by sharing API keys with unauthorized persons.
  • Complying with the Invoicing Providers' own terms of use and privacy policies.
  • Ensuring the accuracy and legal compliance of the data recorded in the Shopify store (customer data, product data, prices, VAT rates).
  • Reviewing and, where appropriate, finalizing draft invoices created in the Invoicing Provider. The Merchant is responsible for the content of invoices created via the App and for their finalization.
  • Complying with applicable Hungarian tax and accounting laws. Using the App does not relieve the Merchant from statutory obligations.
  • Using the App for its intended purpose. Reverse engineering, modifying, or using the App for any unlawful purpose is prohibited.

7. Provider's Rights and Obligations

7.1 Obligations

  • Ensuring the proper operation of the App within reasonable limits.
  • Logging synchronization events and making them available to the Merchant.
  • Adhering to the commitments set out in these Terms and the Privacy Policy regarding the App and data processing.
  • Notifying Merchants in advance of planned maintenance or amendments to these Terms.
  • Applying industry-standard security measures to data transmission and storage (encrypted communication, access control).

7.2 Rights

  • Modifying the App's functionality, user interface, and technical implementation at any time.
  • Performing planned maintenance, including temporary suspension of the service if required.
  • Terminating the agreement with immediate effect in the cases described in section 4.3 (b).
  • Unilaterally amending these Terms and the Privacy Policy subject to at least 15 (fifteen) calendar days' prior notice to the Merchant.

8. Intellectual Property

The App — including its source code, graphical elements, user interface, documentation and every related intellectual creation — is the exclusive intellectual property of the Provider.

By installing the App, the Merchant obtains a limited, non-exclusive, non-transferable right to use the App for its intended purpose during the subscription term.

The names and logos of Shopify, Billingo and Számlázz.hu are trademarks of the respective rights holders. The App uses these trademarks solely to identify the integration and claims no rights in them.

9. Limitation of Liability

9.1 "As Is"

The App is provided "as is". The Provider gives no warranty that the App will be error-free or uninterrupted.

9.2 Third Parties

The Provider is not liable for the availability, operation or API changes of Shopify, Billingo, Számlázz.hu or any other third party, or for data loss or faulty synchronization caused by them.

9.3 In Particular, the Provider Is Not Liable For:

  • Synchronization problems caused by changes, unavailability or errors in the Invoicing Providers' APIs.
  • Problems caused by Shopify platform outages, API changes, or webhook delivery failures.
  • Consequences of incorrect, incomplete or unlawful data supplied by the Merchant (wrong VAT rate, incorrect tax number, non-existent address, etc.).
  • Consequences of manual operations (finalization, cancellation, deletion) carried out by the Merchant in the Invoicing Provider's interface.
  • Damage resulting from the unauthorized use of the Merchant's API keys.
  • Loss of profit, indirect, consequential or special damages.

9.4 Liability Cap

The Provider's total liability under this agreement — where it exists under applicable law — shall not exceed the subscription fees actually paid by the Merchant in the 12 (twelve) months preceding the event giving rise to the claim.

10. Availability and Support

10.1 Availability

The Provider targets 99% annual availability for the App, excluding planned maintenance windows and outages of Shopify, Billingo, Számlázz.hu or any other third-party service.

10.2 Maintenance

The Provider notifies the Merchant of planned maintenance in the App admin interface or via email in advance.

11. Third-Party Services

The App's operation relies on the Shopify platform and on the Invoicing Providers' systems (Billingo, Számlázz.hu and any future integrations). These services have their own terms of use and privacy policies, which the Merchant must review and accept separately.

The Provider assumes no liability for changes to, discontinuation of, or damage caused by third-party services.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and the legal relationship arising from use of the App are governed by Hungarian law.

12.2 Dispute Resolution

The parties will primarily seek to resolve disputes through negotiation. Failing that:

  • (a) A Merchant qualifying as a consumer may turn to the conciliation board competent for their place of residence or stay.
  • (b) The Merchant may file a complaint with the Hungarian National Authority for Data Protection and Freedom of Information (NAIH):
  • (c) The Merchant is entitled to enforce claims through the courts in accordance with Hungarian civil and procedural law.

13. Miscellaneous

13.1 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in force. The invalid provision is replaced by the valid provision that most closely matches its purpose.

13.2 Amendments

The Provider may amend these Terms unilaterally. The Merchant is notified in the App admin interface and/or by email at least 15 (fifteen) calendar days before the amendment takes effect. Continued use of the App after the amendment constitutes acceptance.

13.3 Notices

The Provider sends notices to the email address linked to the Merchant's Shopify account and/or through the App admin interface.

13.4 Assignment

The Merchant may not assign its rights and obligations under these Terms to a third party without the Provider's prior written consent.

13.5 Force Majeure

The Provider is not liable for delay or failure caused by force majeure events (natural disaster, war, pandemic, government measure, internet service outage, Shopify/Billingo/Számlázz.hu platform failure, etc.).
